Officers

Section 4.1
|
Titles
|
|
The officers of the corporation shall be a President, a Secretary, a Chief Financial Officer, and any other officer with the title and duties as determined by the Board and as may be necessary to enable it to sign instruments. The President is the Chief Executive Officer of the corporation.

Section 4.2
|
Duties of Officers
|
|
The officers shall have only those duties and powers prescribed by law and/or granted by these bylaws or Board resolution. It is the duty of the Board Secretary to see to it that the corporation's records and reports are property kept and filed. The President shall serve as Secretary when the Secretary is unable to serve.

Section 4.3
|
Nomination
|
|
Any member can nominate any other member for any office. Nominations shall be made by electronic means over the two months preceding the annual meeting and shall be ratified by the Board no less than two weeks prior to the annual meeting.

Section 4.4
|
Election
|
|
The officers shall be elected at the annual meeting by acclamation unless a written ballot is requested. The candidate receiving the highest number of votes for an office shall be elected.
|

Section 4.5
|
Resignation or Removal
|
|
Officers can be removed by a vote of the Board. Any officer may resign at any time on written notice to the corporation without prejudice to the rights, if any, of the corporation under any contract to which the officer is a party. Vacancies will be filled at the next meeting of the Board.
